Introduction

Aquila, headquartered in Singapore, is an IoT-powered Sustainable Finance platform, connecting verifiers, borrowers, and banks to enable Sustainable Finance. Aquila reduces costs and risk of ESG KPIs verification and monitoring by using real-time IOT data infrastructure.

These Terms of Service (the “Terms”) govern your use of our website and Services. By accessing or using our Services, you agree to comply with and be bound by these Terms.

Definitions

“Aquila” refers to Faber Ops Pte Ltd (doing business as ‘Aquila’), its subsidiaries, and affiliates.

“Services” refers to the products, applications, and services provided by Aquila.

“User” refers to any individual or entity who accesses or uses our Services.

“Content” refers to but is not limited to all information, text, graphics, user interfaces, photographs, trademarks, and computer code provided by Aquila or made available through the Services.

The Services may contain links to third-party websites or content that are not owned or controlled by Aquila. We do not endorse or assume any responsibility for any third-party websites, information, materials, products, or services. Limitation and Exclusion of Liability

To the fullest extent permitted by law, Aquila and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Services.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
  • Any errors or omissions in any Content or for any loss or damage incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available through the Services.

You acknowledge and agree that using any internet-based service involves certain risks, including but not limited to hardware, software, and internet connection failures, malicious software, and unauthorized access by third parties to information stored in your account. You agree not to hold Aquila liable for any communication failures, disruptions, errors, distortions, or delays you may encounter while browsing our website and using the Services.

You agree to indemnify and hold Aquila, its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in connection with:

  • Your violation of these Terms;
  • Your violation of any third-party rights, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

Disclaimer

The Services are provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. 

Aquila does not warrant that:

  • The Services will function uninterrupted, secure, or available at any particular time or location;
  • Any errors or defects will be corrected;
  • The Services are free of viruses or other harmful components; 
  • The results of using the Services will meet your requirements.

Termination

Aquila may terminate or suspend your account and access to the Services at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore and any dispute arising out of or in connection with these Terms including any question regarding its existence, validity or termination, shall be submitted to the exclusive jurisdiction of the Singapore International Arbitration Center (SIAC).

Changes to Terms

These Terms entered into force on 1st January 2024. Aquila reserves the right to modify them at any time. We will provide notice of any material changes by posting the new Terms on our website. Your continued use of the Services following any such changes constitutes your acceptance of the new Terms.
